MAQAROON® IS A NEW LIFESTYLE BRAND CREATED BY AWARD-WINNING MANGA ARTIST JOANNA ZHOU (HEREINAFTER “MAQAROON”). THESE TERMS OF USE ARE THE VALID AND BINDING LEGAL TERMS AND CONDITIONS (HEREINAFTER “TERMS OF USE”) FOR THE CONCLUSION OF A CONTRACT BETWEEN YOU AND MAQAROON. BY SENDING YOUR ORDER, YOU EXPRESSLY AGREE TO THESE TERMS OF USE BEING APPLIED.

1.     General Provisions
1.1    These Terms of Use are valid for the sale of all products of Maqaroon offered in the web-shop at www.maqaroon.com (hereinafter “the Products”).

2.     Order
2.1    You can place your order by transmitting the fully completed online order form on www.maqaroon.com. By transmitting your order, you are deemed to have made Maqaroon a binding contractual offer to enter into a sale and purchase contract with you. Maqaroon may in its discretion accept your offer, but is not obliged to do so.

2.2    Maqaroon will confirm the receipt of your order by automated e-mail response.

2.3    In case you should have made your order by mistake or error, please contact info[at]maqaroon.com

3.     Conclusion of the contract
3.1    Maqaroon will attend to your orders on business days from Monday to Friday.

3.2    Maqaroon will use its best efforts to execute each order within three business days from being placed. Should your order be placed after 4 pm (Central European Time), the next business day will be considered the day on which you placed your order. Maqaroon will notify you by e-mail in the event that there should be a delay regarding your order.

3.3    The contract shall be deemed as validly concluded and binding for both parties with Maqaroon beginning the shipment of the Products ordered (see Section 8 below).

3.4    Maqaroon will send you an e-mail to confirm shipment, thereby also confirming that your sale and purchase contract offer has been accepted.

4.     Product Descriptions
4.1    Maqaroon attempts to be as accurate as possible, however, Maqaroon does not warrant or guarantee that any product description or other content on the website are error free and/or complete.

4.2    Maqaroon reserves the right to change or amend any product descriptions and/or the products themselves, as the case may be. This may happen even after your or­der has been placed, but in such case, you will be notified by e-mail where feasible.

5.     Prices
5.1    The prices, as quoted and displayed on the website, are net prices. Maqaroon does not charge VAT on top of the purchase price for the products you order. Independ­ent of the above VAT exemption that applies for Maqaroon, you may have to pay import VAT or comparable taxes and/or duties, if the shipment destination is a non-EU country. Such taxes and duties will be borne by you.

5.2    Shipping charges will be charged in addition to the purchase price. The exact costs will depend on the size and weight of the package to be shipped, as well as on the country of destination. Where Maqaroon is asked to ship any products to a non-EU destination country, such shipments may also be subject to customs duties that will be borne by you. The exact customs duty payable may vary, depending on the country of destination and the parcel value.

6.     Payment
6.1    At the moment, Maqaroon only accepts payment via PayPal.

7.     Withdrawal and Returns
7.1    Undamaged products can be returned in your discretion within 14 days from receipt, provided that they are in their original packaged condition. In such case, the purchase price will be refunded to you, but you shall bear the costs of the return shipment yourself.

7.2    Maqaroon reserves the right not to refund the purchase price in its discretion, where the returned products should be damaged and/or not in a resale-able condi­tion.

8.     Shipping and Delivery
8.1    All products are shipped from Maqaroon in pristine condition in secure packaging.

8.2    Maqaroon is not responsible for products lost or damaged in transit. Maqaroon will aim to provide you with a replacement, but is under no obligation to do so.

8.3    All shipments are made via Österreichische Post AG (Austrian postal system).

8.4    Unless expressly requested, smaller parcels will be sent by unregistered mail and without tracking.

8.5    Large parcels will be sent by registered mail/with tracking and Maqaroon will inform you accordingly in the shipment confirmation e-mail.

9.     Copyright & Intellectual Property
9.1    All content on www.maqaroon.com (products, photos, logos, graphics and artwork) with the exception of Breadou® Macarons, is owned by Joanna Zhou/Maqaroon, and it is (partly) protected by competition, trademark and design protection laws. All of the content, in its en­tirety and in its parts, is further fully protected by copyright laws.

9.2    All rights reserved. Material on this site may not be sold, spread, used or otherwise exploited without the prior written consent of Maqaroon.

9.3    If you should encounter any third-party infringement of the above rights, you are asked to kindly inform Maqaroon accordingly at the first occasion by e-mailing to info[at]maqaroon.com.

10.   Privacy
10.1  For further information, please see Maqaroon’s Privacy Policy.

11.   Miscellaneous
11.1    The contractual language shall be English.

11.2 If any provision of these Terms of Use should be found by any court to be void, such non-applicable provision shall be replaced by another provision which best reflects the contents and the meaning of the original provision as well as the economic ef­fect of these Terms of Use in their entirety, in general. The void provision shall not affect the validity and effectiveness of the remaining provisions hereof.

12.   Governing Laws and Jurisdiction
12.1  These Terms of Use and your contractual and otherwise relationship with Maqa­roon shall be governed by the laws of Austria, to the exclusion of the conflict of law rules of Austrian international private law and the provisions of the UN Sales Con­vention.

12.2 All disputes arising out of and/or in connection with these Terms of Use shall be exclusively referred to the competent Court of the First District of Vienna, Austria, unless otherwise set forth by mandatory law.

MAQAROON® IST EINE NEUE LIFESTYLE-MARKE DER PREISGEKRÖNTEN MANGA-DESIG­NERIN JOANNA ZHOU (IN WEITERER FOLGE „MAQAROON“ GENANNT). DIESE VEREINBA­RUNG STELLT DIE ALLGEMEINEN NUTZUNGSBEDINGUNGEN FÜR DEN VERTRAGSAB­SCHLUSS ZWISCHEN DIR UND MAQAROON DAR. MIT ABSCHICKEN DEINER BESTELLUNG STIMMST DU DIESEN ALLGEMEINEN NUTZUNGSBEDINGUNGEN AUSDRÜCKLICH ZU.  

1.     Allgemeine Bestimmungen
1.1    Diese allgemeinen Nutzungsbestimmungen gelten für den Verkauf aller Produkte von Maqaroon, die im Onlineshop von www.maqaroon.com angeboten werden (in weiterer Folge „Produkte“ genannt).

2.     Bestellung
2.1    Die Bestellung erfolgt durch Abschicken deines vollständig ausgefüllten Bestellformulars auf www.maqaroon.com. Durch Abschicken deiner Bestellung unterbreitest du Maqaroon ein Angebot zum Abschluss eines Kaufvertrages, an das du gebunden bist. Maqaroon kann dein Angebot annehmen, ist aber nicht dazu verpflichtet.

2.2    Maqaroon wird dir den Eingang deiner Bestellung automatisch via E-Mail bestätigen.

2.3    Sollte dir bei deiner Bestellung ein Fehler unterlaufen sein, wende dich bitte via E-Mail an info[at]maqaroon.at.

3.     Vertragsabschluss
3.1  Bestellungen werden an Werktagen zwischen Montag und Freitag bearbeitet.

3.2    Maqaroon bemüht sich, jede Bestellung innerhalb von drei Werktagen zu bearbeiten. Wenn deine Bestellung nach 16 Uhr (mitteuropäische Zeit) eingeht, gilt der darauffolgende Werktag als Tag der Bestellung. Sollte sich der Bearbeitungszeitraum verzögern, wird dich Maqaroon via E-Mail davon benachrichtigen.

3.3    Dein Angebot gilt dann als angenommen und der Vertrag damit als geschlossen, wenn Maqaroon die bestellten Produkte versendet (siehe Abschnitt 8 unten).

3.4    Maqaroon wird dir den Versand der Produkte und somit den Vertragsabschluss via E-Mail bestätigen.

4.     Produktbeschreibung
4.1    Maqaroon ist bemüht, die Produktbeschreibungen so akkurat wie möglich zu verfassen, dennoch garantiert Maqaroon nicht, dass alle Produktbeschreibungen oder etwaiger sonstiger Inhalt der Website komplett fehlerfrei und/oder vollständig sind.

4.2    Maqaroon behält sich das Recht vor, jederzeit Änderungen an der Produktbeschreibung und an den Produkten selbst vorzunehmen. Dies ist auch noch nach Eingang deiner Bestellung zulässig, du wirst hierüber jedoch nach Tunlichkeit per E-Mail benachrichtigt.

5.     Preise
5.1    Bei den Preisen auf der Website handelt es sich um Nettopreise. Maqaroon verrechnet auf die bestellten Produkte keine Umsatzsteuer. Unabhängig von der Umsatzsteuerbefreiung von Maqaroon könnte es zu Einfuhrumsatzsteuern oder vergleichbaren Abgaben in dem Bestimmungsland kommen, wenn außerhalb der EU versendet wird; solche Abgaben sind von dir zu tragen.

5.2 Die Versandkosten werden zum Kaufpreis hinzugerechnet und hängen von der Größe und vom Gewicht der Sendung sowie vom jeweiligen Land ab, in das die bestellten Produkte geliefert werden sollen. Sofern Maqaroon die bestellten Produkte außerhalb der EU versendet, können auch zusätzliche Zollgebühren anfallen, die von dir zu tragen sind. Die Höhe der Zollgebühren hängt vom jeweiligen Zielland sowie dem Wert der Produkte ab.

6.     Zahlung
6.1    Die Zahlung der bestellten Produkte erfolgt derzeit ausschließlich über PayPal.

7.     Rücktrittsrecht
7.1    Du hast die Möglichkeit, unbeschädigte Produkte in der Originalverpackung innerhalb von 14 Tagen ab Erhalt an Maqaroon zurückzusenden. In einem solchen Fall wird dir der Kaufpreis zurückerstattet. Die Kosten des Rückversandes hast du selbst zu tragen.

7.2    Maqaroon behält sich das Recht vor, die Rückzahlung des Kaufpreises ganz oder teilweise zu verweigern, wenn die zurückgeschickten Produkte beschädigt sind und/oder nicht mehr verkauft werden können.

8.     Versand und Lieferbestimmungen
8.1 Sämtliche Produkte werden von Maqaroon in einwandfreiem Zustand und in sicherer Verpackung versendet.

8.2 Maqaroon ist nicht für Verlust oder Beschädigung, die die bestellten Produkte beim Versand erleiden könnten, verantwortlich. Maqaroon ist um einen Ersatz der allenfalls im Versandweg beschädigten oder verloren gegangenen Produkte bemüht, aber nicht zu einem solchen Ersatz verpflichtet.

8.3 Sämtlicher Versand wird von der Österreichischen Post AG (das österreichische Postsystem) durchgeführt.

8.4 Kleinere Bestellungen werden nur auf deinen ausdrücklichen Wunsch bei Abschluss der Bestellung eingeschrieben versendet.

8.5 Größere Pakete werden eingeschrieben versendet, worüber dich Maqaroon im Bestätigungs-E-Mail verständigen wird.

9.   Copyright und geistiges Eigentum
9.1    Der gesamte Inhalt von www.maqaroon.com inklusive den darin abgebildeten Produkte, Fotos, Logos und Grafiken ist geistiges Eigentum von Joanna Zhou/Maqaroon und als solches teilweise wettbewerbs-, marken- und designschutzrechtlich, jedenfalls aber (auch) urheberrechtlich geschützt.

9.2    Alle Rechte sind vorbehalten. Sämtliche Inhalte auf dieser Seite dürfen ohne vorherige schriftliche Zustimmung von Maqaroon nicht verkauft, verbreitet oder anderweitig genutzt werden.

9.3    Solltest du derartige Eingriffe von Dritten bemerken, wird du gebeten, Maqaroon umgehend via info[at]maqaroon.com darüber zu informieren.

10.   Datenschutz
10.1  Informationen zum Datenschutz entnimm bitte den Datenschutzbestimmungen von Maqaroon („privacy policy“).

11. Sonstige Bestimmungen

11.1 Die Vertragssprache ist Englisch.

11.2 Befindet ein Gericht eine oder mehrere Bestimmungen dieser allgemeinen Nutzungsbedingungen für ungültig, so entfallen diese und sind sinngemäß so zu ergänzen, dass der ursprüngliche wirtschaftliche Zweck dieser  Nutzungsbedingungen insgesamt bestmöglich erreicht wird. Die Wirksamkeit und Durchsetzbarkeit der übrigen Bestimmungen der allgemeinen Nutzungsbedingungen bleiben hiervon unberührt.

12.   Gerichtsstandvereinbarung und anwendbares Recht
12.1 Diese allgemeinen Nutzungsbedingungen und die Vertragsbeziehung zwischen dir und Maqaroon unterliegen österreichischem Recht unter Ausschluss des UN-Kaufrechtes und des IPRG.

12.2 Für alle Streitigkeiten, die sich aus und in Zusammenhang mit diesen allgemeinen Nutzungsbedingungen ergeben, wird – sofern nicht im Einzelfall zwingendes Gesetzesrecht entgegensteht – die ausschließliche Zuständigkeit des jeweils sachlich zuständigen Gerichtes für Wien, Innere Stadt, vereinbart.
